GOEDIT END USER LICENSE AGREEMENT (B2B) Version: 01.10.2026 Effective Date: 1 October 2026 KontextWork GbR Herrenstraße 13 30159 Hannover Germany IMPORTANT: Please read this End User License Agreement carefully before installing or using GoEdit. By selecting "I accept" or an equivalent option during installation, the person performing the installation confirms acceptance of this Agreement on behalf of the Customer and represents that they are authorized to bind the Customer to this Agreement. 1. SCOPE, BUSINESS CUSTOMERS AND ACCEPTANCE 1.1 This Agreement governs the licensing and use of GoEdit provided by KontextWork for supported software platforms, including: a. GoEdit for Atlassian Confluence; b. GoEdit for Atlassian Jira; and c. GoEdit provided as an extension or as part of Drupal Wiki. 1.2 This Agreement applies to the supported deployment and licensing models of GoEdit, including Perpetual Licenses, Subscription Licenses, Trial Licenses, cloud or SaaS deployments, and customer-operated installations, as applicable. 1.3 This Agreement applies exclusively to customers acting in the course of their trade, business, profession, public administration, or other professional activities ("Customer"). GoEdit is not offered to consumers for private use. 1.4 Where GoEdit is obtained through the Atlassian Marketplace, this Agreement applies where it is identified or made available as the applicable vendor license terms. 1.5 Where GoEdit is provided as an extension or as part of Drupal Wiki, the applicable Drupal Wiki contractual documentation shall refer to this Agreement. The relationship between this Agreement and the Drupal Wiki contractual terms is governed by Section 29. 1.6 Where GoEdit client software is installed on a device, installation requires express acceptance of this Agreement. By selecting the applicable acceptance option during installation, the person performing the installation confirms acceptance of this Agreement on behalf of Customer. 1.7 A person accepting this Agreement on behalf of Customer represents that they are authorized to bind Customer to this Agreement. 1.8 Customer is bound by this Agreement where it is validly incorporated into the applicable transaction, contractual documentation, Marketplace process, or installation process. 1.9 Commercial terms, including pricing, payment, subscription periods, maintenance periods, and other product-specific conditions, are governed by the applicable Marketplace order, Order, subscription agreement, maintenance agreement, Drupal Wiki contractual documentation, or other applicable contractual documentation. 1.10 Any general terms and conditions of Customer, including terms contained in purchase orders, procurement documents, or procurement portals, shall not apply unless expressly accepted by KontextWork. 2. DEFINITIONS For purposes of this Agreement: "Authorized Users" means users who are permitted to access and use GoEdit within the scope of the license applicable to the Licensed Instance and the applicable Licensed User tier. "Documentation" means the current online documentation for GoEdit published or otherwise made available by KontextWork, including the technical documentation and System Requirements applicable to the relevant currently supported GoEdit version. "Licensed Instance" means the specific software instance, site, cloud instance, tenant, or other separately operated deployment for which GoEdit has been licensed. "Licensed Users" means the maximum number of users, user tier, or other user-based license scope specified in the applicable license or contractual documentation. "Maintenance Term" means the period during which Customer is entitled to maintenance, updates, security fixes, and any other services specified in the applicable maintenance terms. "Order" means the applicable Marketplace order, order documentation, subscription agreement, Drupal Wiki contractual documentation, maintenance agreement, or other commercial document defining the relevant license and commercial terms. "Perpetual License" means a non-expiring right to use the GoEdit version Customer was entitled to receive during the applicable active Maintenance Term, subject to this Agreement. "Subscription License" means a time-limited right to use GoEdit during the subscription term specified in the applicable Order. "Subscription Term" means the period during which a Subscription License is valid under the applicable Order. "Trial License" means a time-limited license to use GoEdit for a trial or evaluation period made available by or on behalf of KontextWork, including through the Atlassian Marketplace. 3. LICENSE MODELS AND GRANT OF LICENSE 3.1 Subject to Customer's compliance with this Agreement and the applicable commercial terms, KontextWork grants Customer a non-exclusive, non-transferable, and non-sublicensable right to use GoEdit within the scope of the applicable license. 3.2 GoEdit may be provided under: a. a Perpetual License; b. a Subscription License; or c. a Trial License. 3.3 The applicable license model, Licensed Instance, number or tier of Licensed Users, and applicable term are determined by the applicable license and Order. 3.4 Each license applies to one Licensed Instance only. 3.5 Use of GoEdit on any additional instance requires a separate license issued for that instance, regardless of whether the additional instance is used for production, testing, staging, development, quality assurance, disaster recovery, or any other purpose. 3.6 Customer may operate additional production or non-production instances, provided that a separate valid GoEdit license has been issued for each instance on which GoEdit is used. 3.7 The permitted use of GoEdit is additionally limited to the applicable number or tier of Licensed Users. 3.8 Rights not expressly granted under this Agreement are reserved by KontextWork and its licensors. 4. PERPETUAL LICENSES 4.1 Under a Perpetual License, Customer may continue to use indefinitely the latest GoEdit version Customer was entitled to receive during the applicable active Maintenance Term. 4.2 A newly acquired Perpetual License is initially provided together with maintenance. The duration, commercial terms, renewal conditions, reinstatement conditions, and detailed scope of such maintenance are governed by the applicable maintenance or other contractual terms and not by this EULA. 4.3 Expiration or termination of a Maintenance Term does not terminate an existing Perpetual License. 4.4 After expiration of the Maintenance Term, Customer may continue to use the version described in Section 4.1, but is no longer entitled to subsequently released: a. updates or upgrades; b. bug fixes or other software corrections; c. security fixes or vulnerability-related updates; d. updates or replacements of third-party or open-source components; e. compatibility adaptations; or f. technical support, unless Customer obtains a new or renewed applicable maintenance entitlement. 4.5 The conditions under which expired maintenance may be renewed or reinstated are governed exclusively by the applicable maintenance terms. 5. SUBSCRIPTION LICENSES 5.1 A Subscription License grants Customer the right to use GoEdit only during the applicable Subscription Term. 5.2 Unless renewed or otherwise extended in accordance with the applicable contractual terms, Customer's right to use GoEdit ends upon expiration or termination of the Subscription License. 5.3 Commercial terms, renewal conditions, fees, and other Subscription-specific conditions are governed by the applicable Order or subscription terms. 6. TRIAL LICENSES 6.1 A Trial License permits Customer to use GoEdit within the licensed scope and for the duration of the applicable trial or evaluation period. 6.2 During an active Trial License, Customer is entitled to use the currently available GoEdit version and to receive generally available bug fixes and security fixes applicable to that version. 6.3 Unless converted into or replaced by a Perpetual License or Subscription License, a Trial License automatically ends upon expiration of the applicable trial period. 6.4 Upon expiration of a Trial License, Customer shall cease using GoEdit unless Customer has obtained a valid Perpetual License or Subscription License for the relevant Licensed Instance. 6.5 Technical support may be provided by KontextWork during a Trial License at its discretion. Unless expressly agreed otherwise, such support is voluntary and does not constitute a contractual entitlement to support services. 6.6 The provision of support in an individual case does not create an obligation to provide the same or comparable support in the future. 6.7 Except where this Agreement expressly provides otherwise, Trial Licenses are subject to the same license restrictions, intellectual property provisions, lawful-use requirements, update obligations, and other applicable provisions of this Agreement as paid licenses. 7. CLIENT INSTALLATION AND INTERNAL DISTRIBUTION 7.1 The GoEdit client software may be installed on any reasonable number of devices used by Authorized Users. 7.2 There is no separate license limitation based on the number of client devices or client installations. 7.3 Customer may internally distribute and deploy the GoEdit client to Authorized Users using centralized software deployment, device management, mobile device management, endpoint management, or comparable internal administration systems. 7.4 Customer may make copies of the GoEdit client reasonably necessary for internal installation, deployment, backup, disaster recovery, and software distribution. 7.5 The right to use the GoEdit client is determined solely by the applicable license for the Licensed Instance and the applicable number or tier of Licensed Users. 7.6 Installation, copying, or internal distribution of the GoEdit client does not create any additional right to use GoEdit beyond the scope of the applicable license. 7.7 Customer shall not distribute the GoEdit client to third parties for their independent use unless such use is separately licensed or expressly permitted by KontextWork. 8. LICENSE RESTRICTIONS AND TECHNICAL PROTECTION MEASURES Unless expressly permitted by this Agreement or mandatory applicable law, the Customer is prohibited: a. rent, lease, sell, sublicense, distribute, or otherwise make GoEdit available to third parties for their independent use; b. use GoEdit outside the scope of the applicable Licensed Instance or Licensed User tier; c. modify, adapt, translate, or create derivative works of GoEdit; d. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of GoEdit; e. circumvent, disable, manipulate, interfere with, or otherwise bypass technical protection measures, license checks, activation mechanisms, user-tier restrictions, instance restrictions, or other mechanisms intended to enforce the licensed scope; or f. remove or alter copyright notices, license information, trademarks, or other proprietary notices contained in GoEdit. 9. OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS 9.1 GoEdit, the Documentation, and all intellectual property rights therein are and shall remain the property of KontextWork and/or its licensors. 9.2 Customer acquires only the rights of use expressly granted under this Agreement. No ownership rights or other intellectual property rights are transferred to Customer. 9.3 "GoEdit", "KontextWork", associated product names, logos, and marks may be trademarks or other protected identifiers of KontextWork. No trademark rights are granted under this Agreement. 10. THIRD-PARTY SOFTWARE 10.1 GoEdit may contain or be distributed with software components provided by third parties, including open-source software. 10.2 Such third-party components may be subject to separate license terms. To the extent required by the applicable third-party license, those license terms shall apply to the respective component independently of, or take precedence over conflicting provisions of, this Agreement. 10.3 Nothing in this Agreement shall limit, restrict, or otherwise impair any rights or licenses that are granted directly to Customer under any applicable third-party or open-source software license. 11. DOCUMENTATION, RELEASE NOTES AND KNOWLEDGE BASE 11.1 The Documentation describes the agreed functionality and characteristics of currently supported versions of GoEdit and contains the applicable System Requirements. 11.2 Release notes published by KontextWork form part of the technical information applicable to the relevant release. 11.3 Customer shall observe material instructions contained in the applicable release notes, including information concerning: a. required or recommended updates; b. security fixes and vulnerability-related measures; c. known limitations or compatibility requirements; d. changes affecting installation, configuration, or operation; and e. migration or upgrade requirements. 11.4 Articles and information made available through the KontextWork Knowledge Base or support system may provide additional technical guidance, troubleshooting information, recommendations, and explanations. 11.5 Unless expressly stated otherwise, Knowledge Base articles do not constitute an agreed characteristic of GoEdit and do not modify the functionality contractually agreed through the Documentation. 11.6 In the event of a conflict concerning the agreed functionality of GoEdit, the applicable Documentation shall prevail over general Knowledge Base articles. Release notes supplement the Documentation with respect to release-specific technical instructions, changes, known limitations, and update requirements. 12. SYSTEM REQUIREMENTS AND COMPATIBILITY 12.1 Customer is responsible for providing and maintaining the hardware, operating systems, third-party software, network connectivity, infrastructure, and other technical environment required to operate GoEdit, except to the extent that the relevant environment is operated or maintained by KontextWork. 12.2 The technical environments, platform versions, and other System Requirements supported by KontextWork are described in the current GoEdit online Documentation. 12.3 Customer is responsible for operating GoEdit in accordance with the applicable System Requirements and, where Customer maintains the installation itself, for ensuring that the relevant technical environment remains supported. 12.4 KontextWork may modify the System Requirements for current and future versions of GoEdit where reasonably necessary, including as a result of: a. changes to supported platforms, products, APIs, or infrastructure; b. changes to operating systems, browsers, runtime environments, or other third-party software; c. security requirements; d. technical developments; e. discontinuation or end of support of third-party products or versions; or f. legal or regulatory requirements. 12.5 Unless expressly agreed otherwise, KontextWork is not obligated to maintain compatibility with future versions or changes of third-party software, platforms, APIs, operating systems, browsers, runtime environments, or infrastructure. 12.6 Customers with an active Maintenance Term or Subscription Term are expected to use a currently supported version of GoEdit and a technical environment that meets the current System Requirements. 12.7 Where Customer continues to use a Perpetual License after expiration of the applicable Maintenance Term, Customer is responsible for maintaining a technical environment compatible with the GoEdit version retained by Customer. KontextWork is not obligated to adapt such version to subsequent changes in third-party products or technical environments. 13. UPDATES, SECURITY FIXES AND CUSTOMER RESPONSIBILITIES 13.1 During an active Maintenance Term, Subscription Term, or Trial License, Customer is entitled to receive generally available updates, bug fixes, security fixes, and component updates applicable to the licensed GoEdit version, subject to the applicable maintenance, subscription, or trial terms. 13.2 Where GoEdit is operated as a cloud or SaaS service, or where maintenance of the GoEdit installation is performed by KontextWork, KontextWork may deploy applicable updates, bug fixes, security fixes, and component updates as part of the operation and maintenance of GoEdit. 13.3 Where Customer operates and maintains the GoEdit installation itself, Customer is responsible for installing updates, bug fixes, security fixes, and component updates made available by KontextWork within a reasonable period after their release. 13.4 Security fixes addressing material or critical security vulnerabilities shall be installed by Customer without undue delay where reasonably possible. 13.5 Customer shall not unreasonably delay or refuse the installation of an update or security fix where KontextWork has informed Customer that the update is required: a. to address a known security vulnerability; b. to correct a material software defect; c. to maintain compatibility with a supported third-party platform or environment; or d. to maintain a currently supported version of GoEdit. 13.6 Customer is responsible for maintaining a supported version of GoEdit where Customer has an active Maintenance Term and operates the installation itself. 13.7 KontextWork shall not be responsible for defects, security vulnerabilities, incompatibilities, or resulting damages to the extent that they result from Customer's failure to install an update, bug fix, security fix, or component update made available by KontextWork within a reasonable period, provided that installation of the relevant update could reasonably have been expected of Customer. 13.8 Sections 13.3 through 13.7 do not apply to the extent that deployment and maintenance of GoEdit are contractually performed by KontextWork. 13.9 Customer remains responsible for maintaining appropriate backups, access controls, infrastructure security, and other reasonable operational safeguards for systems under Customer's control. 14. SUPPORT 14.1 Any entitlement to technical support arises solely from the applicable maintenance, subscription, or other product-specific contractual terms. 14.2 The scope of support, support channels, response times, escalation procedures, and other support-related service conditions are not governed by this EULA. 14.3 The provision of support outside an applicable contractual entitlement is voluntary and does not create any obligation to provide such support in the future. 15. AGREED FUNCTIONALITY AND DEFECTS 15.1 The agreed functionality and characteristics of currently supported versions of GoEdit are determined by the current Documentation applicable to the relevant version and by any additional characteristics expressly agreed in the applicable contractual documentation. 15.2 KontextWork may update and further develop the Documentation to reflect changes, improvements, corrections, and new functionality of currently supported versions of GoEdit. 15.3 Updates to the Documentation do not require KontextWork to add newly documented functionality to an older GoEdit version that Customer is no longer entitled to receive. 15.4 Where Customer continues to use a Perpetual License after expiration of the applicable Maintenance Term, the functionality of GoEdit is limited to the functionality provided by the last GoEdit version Customer was entitled to receive during the active Maintenance Term. Current Documentation may describe functionality available only in newer versions and does not extend the functionality of such older versions. 15.5 GoEdit shall substantially provide the functions and characteristics described for the applicable currently supported version when operated in accordance with the applicable System Requirements. 15.6 An insignificant deviation from the agreed functionality or characteristics shall not constitute a material defect. 15.7 Unless expressly agreed otherwise, KontextWork does not warrant that: a. every software defect can be corrected; b. requirements are met that are not described in the applicable documentation or otherwise expressly agreed; c. GoEdit will remain compatible with future versions or changes of third-party software, platforms, APIs, operating systems, browsers, runtime environments, or infrastructure; or d. third-party products or services used together with GoEdit will remain available or unchanged. 15.8 Customer shall notify KontextWork of defects without undue delay after discovery and shall provide the information and reasonable cooperation necessary to reproduce, analyze, and remedy the defect. 15.9 During an active Maintenance Term or Subscription Term, corrections of software defects shall be provided in accordance with this Agreement and the applicable maintenance or subscription terms. 15.10 KontextWork may remedy a defect, as appropriate, by providing a correction, patch, update, replacement version, or reasonable workaround, provided that the agreed functionality of GoEdit is thereby restored to a reasonable extent. 15.11 KontextWork shall not be responsible for a defect to the extent that it is caused by: a. use of GoEdit contrary to the Documentation or this Agreement; b. operation outside the applicable System Requirements; c. unauthorized modifications to GoEdit; d. hardware, software, platforms, infrastructure, configurations, or other components outside KontextWork's responsibility; e. failure to install a correction, update, or security fix provided by KontextWork where installation was reasonably required and could reasonably have been expected of Customer; or f. continued use of a GoEdit version that is no longer covered by an active Maintenance Term, to the extent the relevant issue would have been prevented or remedied by maintenance provided after expiration of that Maintenance Term. 15.12 Product roadmaps, planned functionality, demonstrations, marketing materials, or other statements outside the Documentation do not constitute agreed functionality unless expressly incorporated into the applicable contractual documentation. 15.13 A guarantee ("Garantie") is only assumed by KontextWork where it is expressly designated as a guarantee in writing. The description of functions and characteristics in the Documentation does not, by itself, constitute such a guarantee. 15.14 Mandatory statutory rights remain unaffected. 16. CUSTOMER DATA AND CONTENT 16.1 Customer retains all rights, title, and interest in and to its data, content, documents, and other materials accessed or processed through the supported platform in connection with the use of GoEdit. 16.2 No ownership rights in Customer data or content are transferred to KontextWork solely as a result of Customer's use of GoEdit. 16.3 This Agreement does not create any obligation for KontextWork to store, retain, archive, or back up Customer data or content. 16.4 To the extent that technical or operational metadata is processed in connection with GoEdit for Atlassian Confluence Cloud, such processing is governed by the GoEdit Confluence Cloud Privacy Policy. 17. DATA PROTECTION 17.1 Each party shall comply with applicable data protection laws with respect to personal data processed in connection with this Agreement. 17.2 GoEdit for Atlassian Confluence Cloud may process or store certain technical or operational metadata as necessary to provide and operate the relevant functionality. 17.3 Details regarding the nature, purpose, scope, retention, and other aspects of such processing are described in the GoEdit Confluence Cloud Privacy Policy made available by KontextWork. 17.4 Where KontextWork processes personal data on behalf of Customer and applicable law requires a data processing agreement, such processing shall be governed by a separate data processing agreement, where applicable. 17.5 This EULA does not replace or modify the GoEdit Confluence Cloud Privacy Policy or any separately concluded data processing agreement. 17.6 For versions of GoEdit other than GoEdit for Atlassian Confluence Cloud, this Section does not imply that personal data or metadata is transmitted to or stored by KontextWork as part of the normal operation of GoEdit. 18. THIRD-PARTY INTELLECTUAL PROPERTY CLAIMS 18.1 If a third party asserts that GoEdit infringes its intellectual property rights, KontextWork may, at its reasonable discretion and taking into account the circumstances of the claim: a. obtain for Customer the right to continue using the affected Software; b. modify the affected Software so that it no longer infringes the relevant third-party rights while substantially preserving its agreed functionality; c. replace the affected Software or component with a reasonably equivalent non-infringing alternative; or d. if the measures described above are not reasonably available or economically reasonable, terminate the affected license or Subscription License and, where appropriate, refund a reasonable pro-rata portion of fees paid for the affected contractual period. 18.2 KontextWork shall have no obligation under this Section to the extent that the alleged infringement results from: a. modifications to GoEdit not made or authorized by KontextWork; b. use of GoEdit contrary to this Agreement or the Documentation; c. combination of GoEdit with products, software, services, or components not provided or approved by KontextWork, where the alleged infringement would not otherwise have occurred; d. continued use of an affected version after KontextWork has made available a non-infringing replacement, modification, or update that could reasonably have been installed or used by Customer; or e. specifications, instructions, or modifications specifically requested by Customer. 18.3 Customer shall notify KontextWork without undue delay after becoming aware of a third-party intellectual property claim relating to GoEdit and shall provide reasonable information and cooperation necessary to assess and address the claim. 18.4 Any liability of KontextWork arising from or in connection with such claims shall be subject to Section 19, except to the extent that liability may not lawfully be limited. 19. LIABILITY 19.1 KontextWork shall be liable without limitation: a. for damage caused intentionally or by gross negligence; b. for culpable injury to life, body, or health; c. where KontextWork has expressly assumed a guarantee, to the extent covered by such guarantee; d. under applicable mandatory product liability law; and e. in any other case in which liability may not lawfully be excluded or limited. 19.2 Subject to Section 19.1, in cases of ordinary negligence KontextWork shall only be liable for the breach of a material contractual obligation. Material contractual obligations are obligations whose fulfillment is essential for the proper performance of the relevant contractual relationship and on whose fulfillment Customer may reasonably rely. 19.3 Liability under Section 19.2 shall be limited to damages that were foreseeable and typical for this type of contractual relationship at the time the relevant agreement was entered into. 19.4 For a Perpetual License, liability arising from ordinary negligence under Sections 19.2 and 19.3 shall apply only while an active Maintenance Term exists at the time of the event giving rise to the claim. 19.5 For a Subscription License, liability arising from ordinary negligence under Sections 19.2 and 19.3 shall apply only during an active Subscription Term. 19.6 Subject to Section 19.1, KontextWork's aggregate liability arising from ordinary negligence in connection with a Perpetual License with active maintenance or a Subscription License shall not exceed the total fees actually paid by Customer for the affected GoEdit license, maintenance, or subscription during the twelve (12) months immediately preceding the event giving rise to the claim. 19.7 Trial Licenses are provided free of charge. Subject to Section 19.1, KontextWork shall not be liable for damages caused by ordinary negligence in connection with a Trial License, except where the damage results from the breach of a material contractual obligation and such liability may not validly be excluded under applicable law. In such case, liability shall be limited to the foreseeable damage typical for a free software evaluation. 19.8 Upon expiration or termination of the Maintenance Term for a Perpetual License, Customer may continue to use the GoEdit version to which Customer was entitled at the end of the Maintenance Term. Such version is no longer subject to ongoing maintenance by KontextWork. 19.9 Unless otherwise agreed, KontextWork has no obligation after expiration of the Maintenance Term to provide: a. corrections of software defects; b. security updates or vulnerability fixes; c. updates or replacements of third-party or open-source components; d. adaptations required as a result of changes to third-party products, platforms, APIs, operating systems, browsers, runtime environments, or infrastructure; or e. compatibility updates or other technical modifications. 19.10 Subject to Section 19.1, KontextWork shall not be liable for damages resulting from Customer's continued use of a Perpetual License without an active Maintenance Term to the extent that the damage results from: a. a defect, vulnerability, incompatibility, or technical issue that arose, became known, or could have been corrected after expiration of the Maintenance Term; b. the absence of an update, security fix, component update, compatibility adaptation, or other maintenance measure that Customer would have been entitled to receive under an active Maintenance Term; or c. Customer's continued operation of GoEdit in an environment that is no longer supported for the GoEdit version used by Customer. 19.11 Where Customer operates and maintains GoEdit itself, KontextWork shall not be liable, subject to Section 19.1, for damages to the extent caused by Customer's failure to install an update, bug fix, security fix, or component update made available by KontextWork within a reasonable period, provided that installation could reasonably have been expected of Customer. 19.12 Customer is responsible for maintaining reasonable and appropriate backups of systems and data under Customer's control. To the extent that Customer's failure to maintain reasonable backups or to take reasonable update, security, or operational measures contributes to the occurrence or extent of a loss, the applicable principles of contributory negligence shall apply. 19.13 The limitations and exclusions of liability set out in this Section shall also apply in favor of KontextWork's employees, legal representatives, officers, and agents. 19.14 The foregoing limitations and exclusions shall apply only to the extent permitted by applicable mandatory law. 20. LAWFUL USE 20.1 Customer shall use GoEdit only in compliance with applicable laws and regulations. 20.2 Customer shall not use GoEdit for unlawful purposes or in a manner that infringes intellectual property rights, privacy rights, or other rights of third parties. 21. TERM AND TERMINATION 21.1 The applicable Maintenance Term, Subscription Term, or Trial period is determined by the applicable license and contractual documentation. 21.2 A Perpetual License remains valid indefinitely unless terminated for cause in accordance with this Section. Expiration or termination of maintenance does not terminate the Perpetual License. 21.3 A Subscription License remains valid only for the applicable Subscription Term and ends upon expiration unless renewed. 21.4 A Trial License ends automatically upon expiration of the applicable trial period unless replaced by a valid paid license. 21.5 Either party may terminate the applicable contractual relationship for material breach if the other party fails to cure the breach within thirty (30) days after receiving notice in text form describing the breach in reasonable detail. 21.6 The cure period in Section 21.5 shall not apply where: a. the breach cannot reasonably be cured; b. the breach consists of a serious infringement of KontextWork's intellectual property rights or intentional circumvention of technical license restrictions; c. continued performance cannot reasonably be expected due to the nature or severity of the breach; or d. mandatory applicable law permits immediate termination. 21.7 Upon expiration or termination of a Subscription License or Trial License, Customer shall cease productive use of the affected GoEdit license. 21.8 Upon termination of a Perpetual License for cause, Customer shall cease productive use of the affected GoEdit license and remove or deactivate the affected installation. 21.9 Backup or archival copies may be retained where deletion would require disproportionate effort, provided that they are not restored or used for productive purposes and remain protected until deleted in the ordinary course. 21.10 Provisions which by their nature are intended to survive termination shall survive, including provisions concerning intellectual property rights, liability, governing law, jurisdiction, and applicable confidentiality obligations. 22. CHANGES AND FURTHER DEVELOPMENT OF GOEDIT 22.1 KontextWork may further develop, modify, enhance, or replace features of GoEdit as part of the ongoing development and maintenance of the Software. 22.2 KontextWork may modify or discontinue individual functions where this is reasonably necessary or appropriate, in particular: a. due to technical developments or changes in underlying platforms or other third-party technologies; b. to improve security, stability, performance, or maintainability; c. to remedy defects or vulnerabilities; d. to comply with legal or regulatory requirements; e. where a function has become technically obsolete or can no longer reasonably be maintained; or f. where a function is replaced by another function providing substantially equivalent functionality. 22.3 Such changes shall not materially impair the essential functionality of GoEdit as a whole during an active Maintenance Term or Subscription Term, unless the change is reasonably required due to circumstances outside KontextWork's control, including changes to third-party platforms, APIs, or mandatory legal requirements. 22.4 KontextWork may introduce new functions, modify user interfaces, workflows, technical architecture, or implementation details without Customer's consent, provided that the essential contractual functionality of GoEdit is maintained. 22.5 No entitlement to future functionality, features described in product roadmaps, development plans, announcements, or previews arises unless expressly agreed in writing. 23. CONFIDENTIALITY 23.1 This Agreement does not create a general confidentiality obligation between the parties. 23.2 Where the parties have entered into a separate confidentiality or non-disclosure agreement, that agreement shall govern the treatment of confidential information. 23.3 Information disclosed by Customer to KontextWork in connection with support, maintenance, troubleshooting, or technical analysis shall be handled in accordance with any applicable confidentiality agreement and applicable data protection laws. 23.4 Nothing in this Section limits any confidentiality obligation arising under mandatory applicable law. 24. ASSIGNMENT 24.1 Customer may not assign or transfer this Agreement or any rights granted under it to a third party without the prior consent of KontextWork, except to the extent that such restriction is prohibited by mandatory applicable law. 24.2 KontextWork may assign or transfer this Agreement, in whole or in part, to an affiliated company or to a legal successor in connection with a merger, corporate restructuring, transfer of business, sale of substantially all assets relating to GoEdit, or similar transaction. 24.3 Any transfer by KontextWork under Section 24.2 shall not materially reduce Customer's contractual rights under an ongoing Perpetual License, Maintenance Term, Subscription Term, or Trial License. 24.4 A permitted transfer of this Agreement does not increase the licensed scope, number or tier of Licensed Users, or number of Licensed Instances. 25. EXPORT CONTROL AND SANCTIONS COMPLIANCE 25.1 Each party shall comply with applicable export control, trade control, and economic sanctions laws and regulations. 25.2 Customer shall not export, re-export, transfer, make available, or use GoEdit in violation of applicable export control or sanctions laws. 25.3 Where legally required, Customer is responsible for obtaining any necessary authorizations before exporting, transferring, or making GoEdit available to a restricted destination, person, or entity. 25.4 KontextWork may refuse or suspend performance to the extent reasonably necessary to comply with mandatory export control or sanctions requirements. 26. FORCE MAJEURE 26.1 Neither party shall be liable for any delay or failure to perform its contractual obligations to the extent such delay or failure is caused by an event beyond that party's reasonable control and could not reasonably have been prevented or overcome by appropriate measures. 26.2 Such events may include, in particular, natural disasters, fire, flood, war, terrorism, civil unrest, governmental or regulatory measures, widespread telecommunications or internet failures, large-scale power outages, labor disputes, or material outages or failures of third-party platforms, cloud services, or infrastructure on which the affected contractual performance depends. 26.3 The affected party shall use reasonable efforts to mitigate the effects of the event and resume performance as soon as reasonably possible. 26.4 Force majeure shall not excuse payment obligations that became due before the force majeure event occurred. 26.5 This Section shall not apply where the relevant event or its consequences could reasonably have been prevented or materially mitigated by measures that could reasonably have been expected from the affected party. 27. CHANGES TO THIS AGREEMENT 27.1 The version of this Agreement applicable at the beginning of the relevant Maintenance Term, Subscription Term, Trial License, or acquisition of a Perpetual License shall govern the applicable contractual period. 27.2 KontextWork may amend or replace this Agreement from time to time, in particular to reflect changes in GoEdit, applicable law, regulatory requirements, business processes, or the manner in which GoEdit is distributed. 27.3 An amended version of this Agreement shall not retroactively modify an ongoing Maintenance Term, Subscription Term, Trial License, or existing Perpetual License. 27.4 The version of this Agreement in effect at the time of a new purchase or renewal may apply to the new or renewed contractual period, provided that the amended Agreement has been made available to Customer and has been validly incorporated into the applicable transaction or renewal process. 27.5 Where GoEdit is obtained or renewed through the Atlassian Marketplace, incorporation of an amended version of this Agreement may take place through the applicable Marketplace process. 27.6 Continued use of a Perpetual License after expiration of the applicable Maintenance Term does not, by itself, constitute acceptance of a subsequently amended version of this Agreement. 28. NOTICES 28.1 Notices and other communications under this Agreement may be made in text form, including by email, unless mandatory applicable law requires a stricter form. 28.2 Notices concerning a material breach, termination, or other legally significant matters shall be sent to the contact details made available by the respective party in connection with the applicable contractual relationship or Marketplace transaction. 28.3 Each party is responsible for keeping its relevant contact information reasonably up to date. 28.4 A notice is deemed received when it has reached the recipient's designated electronic communication system in a form that can reasonably be accessed, subject to applicable mandatory law. 28.5 Nothing in this Section limits the use of communication mechanisms provided through an applicable Marketplace where such mechanisms are suitable for the relevant notice. 29. ORDER OF PRECEDENCE AND ENTIRE AGREEMENT 29.1 This Agreement, together with the applicable Order, Marketplace order, subscription agreement, maintenance agreement, Drupal Wiki contractual terms, and any terms expressly agreed between Customer and KontextWork, constitutes the contractual framework governing the licensing and use of GoEdit. 29.2 In the event of a conflict between applicable contractual documents, the following order of precedence shall apply: a. individually negotiated terms expressly agreed between Customer and KontextWork; b. for GoEdit provided as part of or in connection with Drupal Wiki, the applicable Drupal Wiki contractual and usage terms with respect to Drupal Wiki-specific, commercial, subscription, hosting, and service-related matters; c. for GoEdit obtained through the Atlassian Marketplace, the applicable Atlassian Marketplace order with respect to product selection, license model, Licensed Instance, number or tier of Licensed Users, Subscription Term, and applicable commercial terms; d. this Agreement with respect to the licensing, permitted use, restrictions, intellectual property rights, maintenance-related rights, and other general conditions governing GoEdit. 29.3 Where the applicable Drupal Wiki contractual and usage terms contain provisions that expressly deviate from this Agreement with respect to GoEdit, the more specific Drupal Wiki provisions shall prevail. 29.4 Terms and conditions of Atlassian may apply separately to the operation and use of the Atlassian Marketplace and Atlassian products or services. Such terms do not modify the contractual relationship between Customer and KontextWork unless expressly stated otherwise. 29.5 Any general terms and conditions of Customer, including terms contained in purchase orders, procurement portals, or similar documents, shall not apply unless expressly accepted by KontextWork. 29.6 No statement, representation, or commitment outside the contractual documents identified above shall modify this Agreement unless expressly agreed between the parties. 30. NO WAIVER 30.1 Failure or delay by either party in exercising any right or remedy under this Agreement shall not constitute a waiver of that right or remedy. 30.2 A waiver shall apply only to the specific matter for which it is expressly given. 31. SEVERABILITY 31.1 If any provision of this Agreement is or becomes invalid, illegal, or unenforceable, the validity and enforceability of the remaining provisions shall not be affected. 31.2 The invalid, illegal, or unenforceable provision shall be replaced by the applicable statutory provisions, where available. 32. GOVERNING LAW 32.1 This Agreement shall be governed exclusively by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules. 32.2 The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply. 33. JURISDICTION 33.1 To the extent permitted by applicable law, the courts having jurisdiction in Hannover, Germany, shall have exclusive jurisdiction over all disputes arising out of or in connection with this Agreement. 33.2 KontextWork shall nevertheless be entitled to seek injunctive or other protective relief before any court of competent jurisdiction where reasonably necessary to protect its intellectual property rights. 34. LANGUAGE 34.1 This Agreement is concluded in the English language. 34.2 KontextWork may provide translations of this Agreement for convenience only. 34.3 In the event of any inconsistency, discrepancy, or conflict between the English version and any translated version, the English version shall prevail, to the extent permitted by applicable law.
